Share Transfer in ERPNext

A Share Transfer refers to the process of issuing, transferring, or purchasing company shares between parties. Organizations may need to modify their shareholding structure over time by introducing new shareholders, transferring ownership between existing shareholders, or repurchasing shares from shareholders.

ERPNext provides a dedicated Share Transfer feature to manage these transactions while maintaining accurate shareholder records, folio numbers, share balances, and accounting entries.

Before a shareholder can participate in any transfer or purchase transaction, shares must first be issued to that shareholder.

To access the Share Transfer list:

1. How to Create a Share Transfer

Follow these steps to record a share transaction:

  1. Go to the Share Transfer list and click New.
  2. Select the Transfer Type. For the first transaction of a shareholder, select Issue.
  3. Enter the Transfer Date.
  4. Select the From Shareholder and To Shareholder.
  5. Select the respective From Folio Number and To Folio Number.
  6. Choose the appropriate Liability Account and Asset Account.
  7. Select the Share Type.
  8. Enter the Number of Shares to be transferred.
  9. Specify the share range using From Share Number and To Share Number.
  10. Enter the Rate Per Share.
  11. The system automatically calculates the total transaction amount.
  12. Save and Submit the document.

Upon submission, ERPNext updates shareholder records and enables creation of accounting entries through a Journal Entry.

2. Create Journal Entry

After submitting the Share Transfer document, a Create Journal Entry button becomes available.

The generated Journal Entry helps record the accounting impact of the share transaction by updating the selected asset and liability accounts.

Creating the Journal Entry ensures that the financial impact of the share transaction is properly reflected in the General Ledger.

3. Transfer Types

ERPNext supports three different Share Transfer types:

3.1 Issue

The Issue transaction is used when the company issues shares to a shareholder.

This is typically the first transaction performed for a newly created shareholder.

  • Shares are issued directly by the company.
  • A Folio Number is assigned if not already available.
  • Share ownership records are created.

3.2 Purchase

The Purchase transaction is used when the company buys back shares from an existing shareholder.

  • Reduces outstanding shareholder holdings.
  • Records share buyback transactions.
  • Updates shareholder balances automatically.

3.3 Transfer

The Transfer transaction is used when shares are moved from one shareholder to another.

  • Ownership changes between shareholders.
  • No new shares are created.
  • Existing share records are reassigned.

The Transfer option only moves ownership of existing shares and does not increase or decrease total company share capital.

4. Important Terminology

Folio Number

A Folio Number is a unique identifier assigned to a shareholder. It helps track ownership records and all share-related transactions associated with that shareholder.

Share Type

ERPNext provides two default share categories:

  • Equity Shares
  • Preference Shares

Organizations can create additional share types if required to match their corporate structure.

Share Numbers

Share Numbers identify the exact shares involved in the transaction and help maintain a clear ownership trail.

6. Important Note

Before shares can be purchased or transferred between shareholders, they must first be issued through an Issue transaction.
